How long can the Foundation legally postpone Board of Trustees elections?

Unread post by Poetlister » Sat Sep 05, 2020 8:16 pm

How long can the Foundation legally postpone Board of Trustees elections?

https://meta.wikimedia.org/wiki/Talk:Wi ... 0#Postpone?
has a comment from April saying, "Once things get moving again,
appopriate [sic] date for the election will be decided and an
announcement will be made."

https://meta.wikimedia.org/wiki/Wikimed ... nt_members
suggests that five board members terms end on "Wikimania 2020" -- but
is that accurate?

https://foundation.wikimedia.org/wiki/R ... for_Bylaws
is clear that "All Board terms are three years" and "the term of each
such appointment shall not exceed three years."

Who are the current members of the Board of Trustees?

Can the board achieve a quorum in its present state?

Who is the Chair currently?
THis is an e-mail from Bill Takatoshi on the WMF mailing list.

We should ask, perhaps in a way that brings in the state it's registered in (I believe California), and the IRS - you can lose tax-exempt status if you screw up your board bad enough

You can if you get caught self dealing.

Maybe I should talk about self-dealing and other pitfalls of playing fast and loose with rules about board members of charities. For I am a member of such a charity board. When we traveled to have annual meetings, my stipend was $0.00. My submitted expenses were $0.00. My annual compensation is $0.00. I have accepted $0.00 in awards and prizes.

I could compare that to the WMF board.

I think it's a valid point.
Laura Hale and Maria Sefidari Huici have played fast and loose with the rules and should have a light shown on them.

I'm baffled why the election is being delayed. Surely the WMF of all organisations can do these things online. Three organisations I belong to have done just that.
