Grade II is very freely applied. Grade II* is a bit more exclusive, so that is where I would personally tend to draw the line, but it does change over time.

Probably not. A pandemic is a good time to make changes like this. People not paying attention, as you said. The thing to watch for would be the actual people on the Board, whether they are just stooges, or if they are people that would do the right thing if needed.
